ACG Boston Appoints Four New Members to the Board of Directors

Additional Board Members Boost Local Chapter’s Experience and Expertise in M&A

BOSTON, MA – October 12, 2016 – ACG Boston, the Boston Chapter of the Association for Corporate Growth (ACG) announced that the ACG Boston board has elected four new members to its Board of Directors, strengthening the chapter’s leadership in both private equity and investment banking, as well as appointing a new treasurer.  The new board members are Greg Chin, Managing Director, Transaction Advisory Services, Grant Thornton LLP, who will serve as Treasurer; Phil Dudley, Vice President, McCarthy Capital; Chris Nicholas, Vice President, Shields & Company; and Todd Ofenloch, Managing Director, H.I.G. Capital.

ACG Boston serves over 500 Boston members who are directly involved in M&A transactions – including private equity investors, intermediaries, corporate development professionals, lenders and service providers – and is dedicated to helping middle-market M&A professionals build and maintain trusted and productive relationships through membership and event opportunities.

gregchin_150x150Greg Chin, Managing Director, Transaction Advisory Services, Grant Thornton LLP

Greg is a Managing Director in Grant Thornton’s Transaction Advisory Services practice in Boston. With more than 20 years as a senior financial professional, Greg has advised clients on hundreds of transactions in a wide range of industries, developing relationships with his clients to support their growth whether through M&A or organic initiatives.

Greg’s transactional experience includes advising strategic, financial buyers and providing buy-side and sell-side due diligence in a wide range of industries, including manufacturing, chemicals, software, pharmaceuticals, consumer products, retail and health care. He has worked with companies and lenders in distressed situations, including refinancing, evaluating liquidity, and assessing financial projections. Prior to joining Grant Thornton, Greg was with Duff & Phelps, FTI Consulting, PricewaterhouseCoopers, Fidelity Investments and has worked for numerous financial sponsor clients.

Greg has an M.S. in finance from Boston College, and B.S.B.A in accounting from Boston University.

Phil Dudley is a Vice President at McCarthy Capital. Mr. Dudley joined McCarthy Capital in 2009 and is based in McCarthy Capital’s Boston office. His responsibilities include originating new investment opportunities, structuring and executing private equity investments and management oversight of portfolio investments. Prior to joining McCarthy Capital, Mr. Dudley worked in private equity and investment banking at Alta Communications and Bear, Stearns & Co. Inc., respectively. He currently serves on the Board of Directors of Bamboo Rose, Seven10, HHA, and TriMech; and is an observer to the boards of Remi and Advantor. Mr. Dudley earned a Bachelor of Arts in Economics and Business from Lafayette College.

Chris Nicholas is a Vice President at Shields & Company, a middle-market investment bank located in Waltham, MA. Mr. Nicholas has over ten years of investment banking experience across a variety of industries, including business services, consumer products, industrial products & services, niche manufacturing, and specialty distribution.

Prior to Shields & Company, Mr. Nicholas was an Associate at Harris Williams, where he was part of the Industrials Group located in Richmond, VA. Mr. Nicholas has held prior positions at BirdDog Solutions, Morgan Stanley, and began his career at Shields & Company as an Analyst working on a variety of acquisition, advisory, and valuation assignments.

Mr. Nicholas earned an MBA from the Tuck School of Business at Dartmouth College and a BA in Economics from Bucknell University. Mr. Nicholas holds Series 7, 63, and 79 FINRA registrations.

Todd is a Managing Director in the Boston office of H.I.G. Capital. Since joining the firm in 2009, he has been responsible for evaluating and executing new investment opportunities, as well as working with portfolio companies. Todd has nearly 20 years of experience investing in middle market private equity transactions and has worked on investments in a broad range of industries, including building products, business services, enterprise software, food and consumer products, hospitality and travel services, and media and marketing services. He currently serves on the boards of several H.I.G. portfolio companies.

Prior to H.I.G., Todd was an investment professional at Parthenon Capital Partners in Boston, at GTCR in Chicago, and at The Halifax Group in Dallas, TX. He began his career as an investment banker at Lazard Frères, specializing in mergers & acquisitions advisory services. Todd graduated with Bronze Tablet honors from the University of Illinois with a B.S. in Accountancy (CPA) and received an M.B.A. with honors from Columbia Business School.

How did you end up in your line of business?

Even in law school, I was interested in business but I didn’t know that private equity would be my focus until I started practicing.  As a young lawyer, I worked with founders who had started a company in their garage—literally—and were taking on a nine-figure growth capital investment.  The deal was personal and, of course, financially significant to them and it was challenging and exciting to be part of the team. I loved all of it and I was hooked.

How did you first get involved with ACG Boston?

I started attending events years ago and, over time, I’ve come to see how important the organization is for deal professionals in the city.  We’re a tight group here in Boston but there’s so much activity that being part of the leading network is crucial.  It’s great to know there’s one group that combines the contacts, content, and resources like this.

What’s the best advice you’ve ever received?

An early mentor harped on how connected the various pieces of a deal were.  He compared it to building a house, where every detail had to be considered in light of the overall project.  If we put the kitchen there, what does that mean for the plumbing?  If we add this concept to the reps and warranties in the purchase agreement, what does that mean for the indemnification section?  Understanding those issues helps me better achieve the client’s over-arching goals.

What is something people don’t know about you?

I won a blueberry pie eating contest at a county fair.  And I haven’t had blueberry pie since.

What is your most satisfying professional accomplishment?

The most rewarding part of my job is being able to develop long term relationships with owners and sponsors and getting deals done.  Growth capital investments, exit transactions, add-on acquisitions—it’s exciting to help people develop a strategy, put things in place, and realize their goals.

What is the best vacation you’ve ever had?

I had the chance to go to Brazil for the World Cup in 2014.  We followed the US team for the group stage, spent a little time traveling around the country, and saw some incredible soccer.  I’ve got my eye on Russia for 2018…

How did you first get involved with ACG Boston?

I came to Boston in 1999 after spending my first 8 years as a lawyer in New York.  When I first joined Burns and Levinson, the marketing director told me that I had to build a network and that I should join ACG.  I went to my first breakfast and remember Jack Derby up at the podium telling us to trade business cards with the people in the room and it has been a great organization for me ever since for building professional and personal relationships.

How did you end up in your line of business?  

I was at Tufts and in my senior year I was interviewing for jobs and also applying to law school.  I got an offer from Andersen Consulting that I was seriously thinking of accepting, but my parents convinced me to go to law school.  When I was in law school I was lucky enough to be a summer associate at a law firm in NY and met one of the greatest lawyers I have ever known, Arthur Siskind, who took me out to lunch and said I should join his department and become a corporate lawyer.  He went on to be general counsel for Rupert Murdoch’s company and I did many fun deals with him.

What’s the best advice you’ve ever received?

One of my mentors told me that no matter what I was doing, I was in the business of building good will and that I should approach my professional and personal interactions that way.  Personally, someone once told me to “never turn down a good invitation” and I try to live by those words.

What is something people don’t know about you? 

I used to be in musicals in high school and my most favorite role was Nathan Detroit in Guys and Dolls.

What is your most satisfying professional accomplishment? 

One of my clients  unfortunately was diagnosed with cancer and asked me to sell his business quickly rather than going through a sale process and hiring an investment banker.  I had just been introduced to someone looking to buy a business like his, so I put the two together and he sold the business to him in a matter of weeks and focused on his health.  All parties were very happy and I am happy to say that the client is healthy.

What is the best vacation you’ve ever had? 

I love to travel and am fortunate that my wife and kids share my love of travel, so I have been to some amazing places.  For my 40th birthday, I sent an email to several of my closest friends and told them that I would be renting a villa in Italy and just needed to know how many bedrooms it needed to be and that if they took care of the flight, I would take care of the house.  I ended up hosting 6 couples for a week of great food, wine and company in Tuscany, and it was really memorable.

Josef Volman is a Partner and Co-Chair of Burns & Levinson’s Corporate Group. He represents entrepreneurs, start-up and emerging companies, private equity and venture funds, investors, public companies and investment banking firms. Joe’s depth of knowledge in corporate law includes public offerings, securities compliance, buying and selling private and public companies, venture financings, representation of private equity firms, fund formation, early and late stage private and public equity and debt financing transactions, and international cross border transactions.

Priding himself on dedication and responsiveness to his clients, Joe has built a reputation as a “deal maker,” “business lawyer” and a “lawyer’s lawyer,” as evidenced by his inclusion in The Best Lawyers of America® (2013-2016).

Adam Ghander is Co-Chair of the firm’s Emerging Companies Group and a Partner in the Business Department and Private Equity practice group at Nutter McClennen & Fish LLP. He focuses his practice on mergers and acquisitions, private capital finance, and securities and corporate governance. Adam works extensively with middle market and emerging companies and in industries such as banking and financial technology, food and beverage, e-commerce and mobile applications, manufacturing, and professional sports.

Adam previously served as in-house counsel for a publicly-traded manufacturing and technology company. Prior to his in-house experience, he spent many years as a corporate attorney in the Boston office of an international law firm.

Adam has been an adjunct professor at the Boston University School of Management and frequently lectures and presents on corporate finance matters, including through Massachusetts Continuing Legal Education and The Capital Network.

During law school, Adam was editor-in-chief of the Uniform Commercial Code Reporter-Digest. Adam was selected as a member of the Greater Boston Chamber of Commerce’s Future Leaders class of 2013 and has been named to the Massachusetts Super Lawyers Rising Stars list.

Emily leads business development and is also a Senior Consultant at Chrysalis. Emily has 10+ years of experience in business development, strategy, marketing and investment analysis, with a focus on manufacturing, distribution, industrials and business service companies.

Prior to joining Chrysalis, Emily launched and led Camber Holdings, the private equity division of G2 Capital Advisors. As Vice President at Camber, and previously as the Director of Originations at Private Equity firm Watermill Group, Emily sourced and analyzed deal opportunities, while building and maintaining strategic relationships with intermediaries, lenders and other partners.

At both Camber and Watermill, she developed and implemented creative marketing and deal sourcing initiatives, analyzed deal opportunities, and managed the deal evaluation and the initial due diligence processes. Emily launched her career at Forbes magazine, and also spent two years at a healthcare technology start-up company in New York.

Emily received her BA from Middlebury College and MBA from the F.W. Olin Graduate School of Business at Babson College.

Lynn Sommer has more than 15 years of valuation and transaction advisory service experience with both public and private companies, providing fairness and solvency opinions, strategic alternatives analyses, and valuations for a variety of purposes including tax and financial reporting.

Prior to joining Cabrillo Advisors, Ms. Sommer’s valuation and advisory experience spanned the Big 4 and Houlihan Lokey. In addition, she was most recently a Senior Director at Alvarez & Marsal in New York, where she was an integral senior member of the firm’s transaction opinion services practice.

Ms. Sommer earned a Bachelor’s Degree in Business Administration in Economics from Colgate University and an MBA in Finance and Accounting from New York University’s Stern School of Business.

Ms. Sommer is a frequent speaker on valuation topics and has chaired several committees for and served on the Board of Directors of the Association for Corporate Growth in Los Angeles.

Ms. Scarito has been an investment banker for over 20 years, working in both global, full-service firms as well as smaller, regional firms focused on middle-market companies. She founded RS Finance & Consulting, LLC in April 2009, and specializes in advising corporate clients on mergers, acquisitions, capital raising and corporate and financial strategy.

Ms. Scarito began her career at Lehman Brothers in New York in the firm’s Mergers and Acquisitions department. At Lehman Brothers and at subsequent firms Ms. Scarito represented a variety of corporate clients in the sale of their companies. She also assisted corporate buyers in identifying, evaluating and pursuing acquisition targets. Later in her tenure at Lehman Brothers, Ms. Scarito worked in Equity Capital Markets and Syndicate, where she completed over $9 billion of initial public offerings of equity and convertible securities.

Following her experience at Lehman Brothers, Ms. Scarito moved to Goldman Sachs Asset Management where she gained additional public equity capital markets experience. In her position as Portfolio Analyst, Ms. Scarito identified, analyzed and recommended public company investment opportunities for GSAM’s equity portfolios.

After gaining experience on Wall Street, Ms. Scarito transitioned to the middle market to work with smaller, owner-operated companies. During her tenure in the middle market, Ms. Scarito managed the Private Capital groups of Tucker Anthony, SunTrust Robinson Humphrey and Legacy Partners Group. Ms. Scarito has extensive experience originating, structuring and negotiating private placements of equity and debt.

Ms. Scarito is a member of the Board of Directors of Industrial Services of America, Inc. (NASDAQ: IDSA), a publicly traded scrap metal recycler and processor, and Fresh Truck, Inc., a non-profit, mobile green grocer that increases access to healthy foods within low-income Boston neighborhoods. Ms. Scarito previously served on the Board of Directors of Ambient Corporation (NASDAQ: AMBT), a publicly traded networking communications and technology company, and Material Sampling Technologies, LLC, a private recycler of precious metals.
